Fertitta Entertainment Executives Face Nevada Regulators This Week as Caesars Acquisition Advances

Two high-level Fertitta Entertainment executives are scheduled to appear before the Nevada Gaming Control Board this week as part of the licensing process tied to the company’s pending $17.6 billion acquisition of Caesars Entertainment. The agenda item covers applications for suitability as a director of Fertitta Entertainment, a required early step before the deal can move toward closing.

Richard Liem, Fertitta’s chief financial officer and vice president, and Steven Scheinthal, the company’s general counsel and executive vice president, are both set to appear. While the formal agenda item concerns licensing suitability, the three-member board frequently uses these hearings to question applicants about broader developments within their organizations.

Who’s Who in the Deal

Liem oversees financial operations for Golden Nugget casinos and the Landry’s restaurant chain, in addition to directing Fertitta’s long-term financial strategy. Scheinthal has served as Tilman Fertitta’s primary legal strategist and closest business advisor since 1992, overseeing legal and corporate affairs across a portfolio that includes Landry’s, Golden Nugget, and the Houston Rockets. He has directed every major acquisition in Fertitta’s history, including the 2017 purchase of the Rockets.

Caesars Entertainment is also on Wednesday’s Nevada Gaming Control Board agenda in a separate, unrelated matter. The company announced in late May that it had entered into an agreement to be acquired by Fertitta in an all-cash transaction that would take Caesars private, with the deal valued at $17.6 billion including roughly $11.9 billion in assumed debt. Under the terms, Caesars shareholders will receive $31 in cash per share, representing a 49% premium over the company’s unaffected share price as of February 25, the last trading day before deal rumors surfaced.

Deal Timeline and Earnings Update

The agreement includes a “go-shop” period running through July 11, during which Caesars can solicit competing offers. On Monday, Caesars announced it will release second-quarter financial results on July 28 but will not host an earnings call with analysts and investors, citing the pending merger. “Considering the company’s pending merger agreement with Fertitta Entertainment announced on May 28, 2026, Caesars will not host an earnings call this quarter,” the company said in a statement. Once the deal closes, Caesars common stock will no longer trade on NASDAQ and the company will become a private entity.

Other Business on the Nevada Docket

MGM Resorts International is also scheduled to appear before regulators this week regarding a continuous public offering. That comes amid reports that media mogul Barry Diller’s company, People Inc., has made a roughly $18 billion buyout offer for MGM. Diller currently sits on MGM’s board and has been closely tied to the company’s stock in recent months.
